Transaction Announcement: SeatonCorp

August 22, 2005 - William Blair & Company is pleased to announce the success if its client, SeatonCorp, in connection with an investment by Leeds Weld & Company, a private equity firm. William Blair & Company acted as financial advisor to Seaton for the investment.

Seaton is one of the largest privately held staffing and recruitment firms in the United States. Seaton’s staffing division, Staff Management, exclusively offers vendor-on-premise solutions to high-volume users of contingent labor and conducts business across the United States and Puerto Rico. Seaton’s recruitment division, PeopleScout, assists clients with high-volume candidate processing services. In 2004, PeopleScout processed more than three million candidate transactions.

Leeds Weld & Company is a leading New York-based private equity firm focusing on investments in the human capital sectors. Since its founding in 1993, Leeds Weld has raised and managed more than $650 million of capital and invested in about 20 companies.

William Blair & Company was retained by Seaton to manage a strategic investment process on behalf of its shareholders. William Blair & Company worked with the company’s shareholders and senior management in all aspects of the transaction, including developing a confidential descriptive memorandum, identifying and contacting potential investors, developing a management presentation and data room, coordinating the due diligence process, and negotiating the terms of the transaction.

Through July 2005, William Blair & Company has served as advisor on 29 merger-and-acquisition client engagements representing $4.45 billion in transaction volume. The firm also has helped clients raise $4.3 billion in equity capital through 28 underwritten equity offerings and private placements.
