Restaurant Technologies, Inc Acquired by EQT Infrastructure Partners

William Blair & Company acted as exclusive financial advisor to Restaurant Technologies, Inc. ("RTI" or the "Company"), a portfolio company of controlling shareholder Parthenon Capital Partners ("Parthenon") and minority shareholders ABS Capital Partners ("ABS") and Gemini Investors ("Gemini"), in connection with its sale to EQT Infrastructure ("EQT"). Financial terms of the transaction were not disclosed.

RTI, headquartered in Mendota Heights, Minnesota, is the developer, distributor and service provider of the foodservice industry's leading automated solution for storing, handling and disposing of frying oil. The Company's innovative Total Oil Management solution has revolutionized foodservice safety and operations by eliminating the previous hazards and inconveniences of handling frying oil. RTI Data Management gives customers enhanced visibility and measurement through performance dashboards continually updated with data collected from equipment and other points in their operations. RTI is a growing company with $250 million in revenue generated from 36 depot sites strategically located across the U.S., serving more than 17,000 foodservice customer sites with coverage in more than 75 percent of major metropolitan markets.

EQT is the leading private equity group in Northern Europe more than EUR 13 billion in raised capital and multiple investment strategies. EQT Infrastructure is a EUR 1.2 billion fund (launched 2008) investing primarily in existing infrastructure and has the flexibility to invest globally. Potential targets are basic infrastructure, concession-based infrastructure, social infrastructure and infrastructure-related services.

William Blair was engaged by RTI to pursue a sale of the company. In connection with the engagement, William Blair prepared a confidential investment memorandum, created a management presentation, marketed the Company to a broad range of potential strategic and financial acquirers, coordinated the due diligence process and helped negotiate key terms of the definitive transaction agreement.
